RoboStrategy, Inc. (Nasdaq: BOT) (“RoboStrategy” or the “Fund”), a registered closed-end fund that offers access to privately held companies in the robotics and physical AI sectors, reported the conclusion of a series of private share placements with institutional investors from June 11 through June 16, 2026.
The Fund issued a total of 797,434 shares of common stock at a weighted average price of $36.28 per share, generating gross proceeds of roughly $28.9 million. No placement fees or commissions were incurred in relation to these transactions.
These shares were issued through private placements that are exempt from registration under the Securities Act of 1933, as amended, pursuant to Section 4(a)(2) and Regulation D. The shares have not been registered under the Securities Act and cannot be offered or resold unless registered or an applicable exemption from registration is available. The Fund intends to file a registration statement covering the resale of the shares in line with the terms of the applicable registration rights agreements.
RoboStrategy plans to keep raising capital through privately negotiated share issuances that are value-enhancing for the Fund and its current shareholders, as the Fund deploys capital into its target market of private, venture-capital-backed robotics and embodied AI companies.
